POPLA TERMS OF USE AGREEMENT

Please read these Terms of Use ("Terms") carefully before using the Popla platform (the "Service"), which includes our website, mobile applications, and related services. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

   The Service is owned and operated by Popla Limited ("Popla," "we," "us," or "our"). These Terms govern your access to and use of the Service. If you do not agree to these Terms, you may not use the Service.

2. Eligibility and User Accounts

   1. • Eligibility:

      You must be at least 13 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement.

   2. • Account Responsibility:

      You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Popla immediately of any unauthorized use of your account.

3. Service Features and Usage

   1. A. Event Creation and Hosting (For "Creators" or "Organizers")

      1. • Compliance:

         You are solely responsible for ensuring that any event you create, promote, or host on Popla complies with all applicable local, state, national, and international laws, regulations, and ordinances.

      2. • Accuracy:

         You agree to provide accurate and complete information regarding your event, including dates, times, location, pricing, and refund policies.

      3. • Right to Host:

         You warrant that you have all necessary rights, licenses, and permissions to host and promote the event, including rights to any music, content, or venues used.

      4. • Private Events:

         If you create a private or invite-only event, you are responsible for managing access and ensuring the security of any access codes or invitations.

   2. B. Ticket Purchase and Sales

      1. • Ticket Purchase:

         When you purchase a ticket through Popla, you are entering into a transaction with the Event Creator/Organizer, not Popla. Popla acts only as the ticketing platform.

      2. • Fees:

         All ticket prices may include service fees charged by Popla, which will be displayed at checkout. These fees are typically non-refundable.

      3. • Refunds:

         Refund policies are determined by the Event Creator/Organizer. Popla acts only as the ticketing platform and will not process refunds automatically.

   3. C. Live Streaming and Sessions

      1. • Content Responsibility:

         Creators hosting live video streams are solely responsible for the content, quality, and legality of their broadcast. This includes obtaining all necessary performance or licensing rights for any music or visual media.

      2. • Viewer Conduct:

         As a viewer, you agree not to record, reproduce, or redistribute any live stream content without the express written permission of the Creator.

      3. • Service Interruption:

         Popla is not responsible for any issues related to internet connectivity, buffering, or technical failures that may interrupt a live session.

   4. D. Real-Time Requests (Songs and Shoutouts)

      1. • Payment:

         Song requests and shoutouts may require a payment set by the Creator. You agree that this payment is for the opportunity to submit a request and does not guarantee that the request will be fulfilled by the Creator. Reports can be made about a request within 24-hours to initiate investigation and refund.

      2. • Content Rules:

         Any text or content submitted for a request or shoutout must comply with our Acceptable Use Policy (see Section 4). Popla or the Creator/Organizer reserves the right to deny or refuse to broadcast any request without refund if the content is deemed inappropriate, illegal, or harassing.

   5. E. Social Features (Chatting and People Near Me)

      1. • Location Services:

         Use of features like "People Near Me" requires you to enable location services. You understand and agree that by enabling this feature, your approximate location may be visible to other users.

      2. • Chat Conduct:

         You are solely responsible for your interactions with other users. Popla is a neutral platform and is not responsible for the conduct of its users. Do not share sensitive personal information with strangers.

4. Acceptable Use Policy

   1. You agree not to use the Service to:

      1. • Upload or transmit any content that is illegal, threatening, abusive, defamatory, obscene, or harassing.

      2. • Violate any intellectual property rights, including copyrights or trademarks, of any party (e.g., streaming copyrighted music or movies without permission).

      3. • Transmit viruses, malware, or any other destructive computer code.

      4. • Engage in any form of stalking, harassment, or intimidation of other users or Creators.

      5. • Promote discrimination, hatred, or violence against any individual or group.

5. Intellectual Property Rights

   Popla retains all rights, title, and interest in and to the Service, including all software, design, branding, and content (excluding user-submitted content). You are granted a limited, non-exclusive license to use the Service for personal and commercial activities in accordance with these Terms.

6. Disclaimer of Warranties and Limitation of Liability

   The Service is provided on an "as-is" and "as-available" basis. Popla makes no warranties regarding the reliability, timeliness, quality, or suitability of any event, creator, or third-party service found on the platform. Popla will not be liable for any direct, indirect, incidental, special, or consequential damages resulting from: (i) your inability to use the Service; (ii) any unauthorized access to or alteration of your transmissions or data; (iii) the conduct of any Creator or other third party on the Service; or (iv) any issues arising from a specific event (e.g., event cancellation, change in venue, Creator behavior, live stream quality or interruption).

7. Indemnification

   You agree to indemnify and hold harmless Popla, its affiliates, and their respective officers, directors, and employees from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of (a) your use of the Service, (b) your violation of these Terms, or (c) any content you submit or transmit through the Service (including live video stream content).

8. Changes to Terms

   Popla reserves the right, at its sole discretion, to modify or replace these Terms at any time. We will provide notice of material changes by posting the new Terms on the Service. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms.

9. Governing Law

   These Terms shall be governed by and construed in accordance with the laws of The Federal Republic of Nigeria, without regard to its conflict of law provisions.
